Terms & Conditions

Any instructions received by Red Magnet is considered acceptance of these terms and conditions.

Price 

The price will either be:

• As indicated on invoices provided by Red Magnet 
• As listed on the website
• or Estimated cost range provided by Red Magnet. (Estimated cost is based on how many hours are thought to be required to undertake the work. Accurate hours are calculated over the duration of the project and are charged to the client at the hourly rate on completion.)

Red Magnet reserves the right to change the price in the event of:

• A variation to the brief as the work progresses
• A change of client/project manager and therefore a new client brief and expectations.
• There are more than expected changes or variations to the project than originally expected.
  (for example: change of mind, multiple changes or variations from multiple clients in a committee process)

Payment

• Payment is due prior to the commencement of work. 
• Ownership of the goods/services remain the property of Red Magnet until completion of the project.

– In the event Red Magnet sources a printer for the production of goods, payment for these goods must be paid in full prior to the printing being ordered.

Delivery

The costs of delivery are:

• in addition to the Price. 
• Red Magnet shall not be held liable for any loss or damage due to failure by either Red Magnets nominated delivery service or the clients nominated delivery service to deliver the goods promptly or at all.

Ownership/Title

• Ownership of the goods/services remain the property of Red Magnet until completion of the project.

– Concepts and proofs provided by Red Magnet to the client for approvals/changes/proofing remain the property of Red Magnet and are not to be used or reproduced by the client in any form.

– Red Magnet reserves the right to use goods designed for the client to self promote on multiple forms of media (including but not limited to) printed products and online.

Client’s Disclaimer

The Client hereby disclaims any right to cancel any contract with Red Magnet out of any

misrepresentation made to the Client by Red Magnet. The Client acknowledges that the style and skill of Red Magnet’s design services are bought solely on the Client’s judgement.

Warranty

– Red magnet is not liable for quality of service or any defects in workmanship of goods provided by another party.

Intellectual Property

– The Client warrants that all instructions given to Red Magnet will not cause Red Magnet to infringe any patent, registered design or trademark in the execution of the Client’s instructions and the Client agrees to indemnify Red Magnet against any action taken by a third party against Red Magnet in respect of any such infringement.

Red Magnet Cancellation

Red Magnet is entitled to cancel all or any part of any order from the Client which remains unfulfilled and all amounts paid to Red Magnet will remain with Red Magnet if:

• The client has requested Red Magnet reproduce, copy or infringe on a patent, registered design or trademark.
• It has become evident that the clients instructions are in contrast to Red Magnets design skills and style. 
• A change of client/project manager occurs and new expectations and instructions provided are not cohesive with and Red Magnets style and skills.

Client Cancellation

In the event the Client cancels delivery of goods/services the Client shall be liable for any costs incurred by Red Magnet.

Proofing

Proofing of goods received from Red Magnet are the sole responsibility of the client. Red Magnet must be notified of any changes or corrections by the client. Red Magnet shall not be held liable for incorrect information on goods that have been accepted and/or approved by the client verbally or in writing.

Privacy 

The Client agrees that personal information provided may be used and retained by Red Magnet for the following purposes:

– processing of any payment instructions requested by Client.
– Record keeping of client details for Red Magnet’s private client database.

Red Magnet does not share any personal details with another party.
Red Magnet will self-promote showcasing the products produced and may cross-promote your business through social media channels.

General

Red Magnet shall be under no liability whatever to the Client for any indirect loss and/or expense (including loss of profit) suffered by the Client arising out of a breach by Red Magnet of these terms and conditions.

Concepts/Proofing Conditions

Concepts and proofs provided by Red Magnet to the client either electronically or as a hard copy for approvals and/or changes are provided to the client in a low resolution format for fast electronic delivery, they are not in print ready formats and are under no circumstances in part or as a whole to be used, renamed, printed or given to other parties. Concepts/proofs remain the property of Red Magnet.

Printing Conditions

Printing requested by Red Magnet:

As per the clients instructions Red Magnet can organise the printing of goods. 

This service shall include the following:

• The request of a quotation from a regularly used printer and pass on the quote to the client.
• Liaise with printers regarding files, format, process, style, media, colour, product and printing of the goods to achieve a quality product.

– Provide a print ready file for the printer electronically as per the printers specifications.

– A small % fee is charged to the client for file formatting and services provided by Red Magnet. The fee will be included in the total price of the printing quote presented to the client. Red magnet is not liable for any defects in workmanship of goods provided by another party.

Printing requested by the client:

If the client prefers to request quotes and organise the printing of goods then:  

– All liaising with printers is under the clients control. All printing costs are for the clients account. Red Magnet can not be held liable for any miscommunication between client and printer and is not responsible for any defects in workmanship of goods provided by another party.
